Will this tire fit?

Will a 275/40 17in tire fit on a 94 stock rear rim, without rubbing messing up the TCS etc? A 225/45 16in will be on the stock front rims.

While it won't rub, 275 is wider than you want on the stock rear wheel.
 
275 is too wide, and will be too dangerous to drive on. I'd be surprised if you could find an installer willing to put that tire on the wheel.

As others have noted, it's a bad idea to try fitting it on the stock rim. However, it won't screw up the TCS. (The front tire's outer diameter is 1.50 percent larger than stock, and the rear is 3.82 percent larger.)
 
Thanks guys. How about this set-up on stock 94 rims.

225/45 16's on front
255/40 17's on rear.

Others will answer about how it will fit and whether it will rub.

Outer diameter in the rear is 1.3 percent larger than stock so TCS should work fine. Remember, the percentage increase in the rear should approximately equal the percentage increase in front; if it's off by 5 percent or more, TCS will have problems. You can check the percent increase using a tire calculator like the one at http://www.powerdog.com/tiresize.cgi
