Lets say hypothetically I want to start an online personal training, e-book and supplement sales business in California with 1 partner...


Cant we form an LLC in Nevada or Delaware because we are not technically "doing business" intrastate?

Yes you can start the LLC in nevada or anywhere you want, but you still are doing business in the state if that's where you work from, take calls from or even think about work from. (considering you are a principal member) so you need to register as a Foreign entity in CA. - which is subject to most of the same rules as a native CA company. See example 1 and 4. http://www.ftb.ca.gov/forms/misc/3556.pdf Organizing may have it's advantages in other states so check with your peeps on that.
