I don't get the rolling-your-eyes. Are you asking a rhetorical question? As an aside, doesn't <$40K seem awfully low for a clean 34k mile 97? If it is truly clean with no excuses, that's a lead pipe steal.
With respect to the price, according to kelly blue book the 97 w/ 34k as a trade in would get 38.5k if in excellent condition and 36.5k in good condition. It may be in good conditiona and the seller does not want to trade it in for 36.5k if he can get a private party to buy it for 3k more.

Could be true, but i have been looking for a 97+ for a year now and have seem a few, but never came across a clean title
with low miles for under 40k,, so looks like a really good deal..

IF there are no hidden history behind the two car (=accurate inspection!), I woul buy the low mile one:
Assume, a NSX can be driven 230k miles (I won't include maintenace here since I assume that both are similar maintained).
You still have to drive (very simply way):
134'000 miles to drive for $33900 --> 3.95 miles/$
196'000 miles to drive for $39800 --> 4.92 miles/$
The same is applicable in case you sell the car to someone else in the future, before the 230k miles. Of course in cas he is also faced withy our dilemma and apply this simple calculation...
Just a FYI... I bought a like-new '97 NSX-T with 6900 miles (that's not a typo) last month for $50K. In general, car prices here in the Pacific NW tend to be high. FWIW.
